Our Constitution

The governance framework guiding Resilient Women Community Based Organization

PART I: DEFINITIONS & NAME

1. Definitions of Terms

  • Bank account: Refers to the bank account held in the name of Resilient Women CBO
  • Effective date: The time and date when this constitution shall come into effect
  • The CBO: Refers to "Resilient Women", a duly registered CBO under the National Bureau for Non-Governmental Organizations in the Republic of Uganda
  • Youths: All youths as defined in Article 260 of The Constitution of Uganda
  • Elderly: All elderly as defined in Article 32 of The Constitution of Uganda
  • Indigenous People: All natives as defined in Articles 12 and 13 of The Constitution of Uganda
  • Children: All children as defined in Article 34 of The Constitution of Uganda

2. Name

The name of the organization shall be RESILIENT WOMEN COMMUNITY BASED ORGANIZATION.

PART II: MEMBERSHIP

7. Membership and Members' Eligibility

The organization is an open organization. Members are derived from all people in Uganda either by birth, domicile, or permanent residence who:

  • Are willing to help achieve the CBO's objectives
  • Are of good character
  • Are known by at least 5 members of the Organization

Registration Fee: UGX 50,000 (Uganda Shillings Five Hundred Thousand only) - non-refundable

8. Rights of Members

Members shall:

  1. Elect and be elected to the organs of the Organization
  2. Enjoy the use of all facilities and services of the Organization
  3. Receive periodically and regularly statements of account
  4. Access all legitimate information relating to the Organization
  5. Vote on all matters put before a general meeting

9. Members' Obligations

  1. Observe and comply with the organization's constitution
  2. Pay up contributions and any other payments as provided
  3. Support projects carried out by the organization

10. Suspension from Membership

The organization may suspend a member who:

  • Willfully fails to comply with the organization's constitution
  • Willfully defaults in contribution and payments
  • Is convicted of criminal offences
  • Acts in any way detrimental to the interest of the Organization

PART III: GOVERNANCE

15. Governing Body

The organization shall be governed by a committee of 9 persons covering the following posts:

  1. Chairperson of the committee
  2. Vice Chairperson
  3. Secretary to the committee
  4. Treasurer to the committee
  5. Organizing Secretary
  6. Mobilizer
  7. Publicity Officer
  8. Two Committee Members

16. Duties of the Committee

  • Uphold the constitution
  • Represent the organization in all matters
  • Invite, nominate, accept, suspend, dismiss or restore membership
  • Approve progress reports
  • Maintain a register of members
  • Fix date, time and place for holding general meetings

PART IV: MEETINGS

17. Meetings

Regular Meetings: Members shall have meetings in the months of April, August, and December.

Annual General Meeting (AGM): Held once a year at a date set by the committee. The treasurer will give statements of accounts.

Special General Meeting (SGM): May be called in case of any unforeseen occurrence.

Committee Meetings: At least once in two months.

PART V: CONTRIBUTIONS

18. Contributions

  1. Non-refundable registration fee of UGX 50,000 paid once
  2. Members shall subscribe UGX 20,000 annually
  3. Additional contributions may be arranged for specific organizational needs

12. Sources of Organization Funds

  • Registration fees
  • Members' contributions
  • Surplus from Organization operations
  • Donations/grants
  • Loans from financial institutions

PART VI: ELECTIONS

19. Elections

  • Elections to be held at AGM or SGM
  • A member shall be elected by two-thirds majority
  • Elections shall be presided over by the governing council
  • Elected officials shall hold office as suggested by members

PART VII: DISSOLUTION

20. Dissolving the Organization

The Organization can be dissolved by three-quarter majority agreement after the Organization accounts are consensually settled.

AMENDMENTS TO THIS CONSTITUTION

Amendment Process

Institution of an Amendment: Any member can institute a claim for an amendment of this constitution to the committee or in an AGM or SGM.

Procedural Requirements:

  1. The executive shall deliberate on the claim and approve it
  2. The executive shall call either an SGM or an AGM
  3. All members shall discuss the proposed amendment
  4. An amendment shall only be done if supported by more than two-thirds of the registered members

DECLARATION

This document has been formulated and agreed upon by all members of Resilient Women. It will be the authoritative guidance on the running of the Organization affairs.
